Economic Laws Practice (ELP)’s Sujjain Talwar and Aakanksha Joshi have co-authored a chapter on Representations, Warranties, Indemnities and Insurance in M&A in Lexology’s Practice Guide – India M&A 2021. The authors discuss the role and efficacy of these provisions in M&A transactions given common contractual practices as well as their interplay with statute and judicial precedents. The authors also analyze insurance in relation to Representations and Warranties in M&A transactions.
